Basic Policy on Corporate Governance

In order to realize our management philosophy, "Happiness, for the Next Generations - Bringing Smiles to New Generations," our Group has been building good relationships of trust with our stakeholders, including shareholders, customers, business partners, employees, and local communities. We consider it an important task to maintain and further enhance the corporate value that the Group has developed. We believe that the three functions of the management system to continuously improve corporate value are business management and plan building, and business execution, and we have established a management system and group structure that can respond quickly to changes in the business environment.

Overview of Corporate Governance System and Reasons for Adopting System

The Company has adopted a company-with-auditors system as its institutional design in order to maintain management transparency and a management control system capable of flexible decision-making through rigorous audits of the legality of directors' decision-making and business execution by corporate auditors. In addition, we believe that the objective and neutral viewpoints of outside directors, who are independent of the company, can be utilized to make rational management decisions and ensure the transparency and soundness of management, while the monitoring and supervision of management by corporate auditors, including outside corporate auditors who are independent of the company, will ensure the effectiveness of governance. We have adopted the current system.
